If you are seeking an investment from US VCs I would advise going with Delaware C-corp. At least on the due diligence side, it's best and easier for them to invest. If you're not in Texas, I would imagine you'd either want to file in your own state or in Delaware. Lots of big companies file in Delaware. Supposedly the laws there are very favorable.
