US guy here (not a lawyer), definitely set up the company first and have written stuff in place for what each founder/dev gets. Team disagreements over a multi-sig or distribution can be a killer and are likely going to be your main issue. Also having a corporate entity (even an LLC) shields you from a lot of liability in the case of a bug or funds lost on behalf of users. You can use even an online service...
